Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Clearpath HR, operated by Black Sheep Software Ltd ("we", "us", "our"). By creating an account or using the platform, you agree to these Terms.

2. The service

Clearpath HR is a hosted HR management platform. We provide tools for employee record management, leave tracking, onboarding, training records, document storage, and related HR functions.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will give reasonable notice of material changes.

3. Accounts and access

Customer organisations are responsible for all activity that occurs under their account. You must keep credentials confidential and notify us immediately of any unauthorised access.

You may only use the platform for lawful purposes. You must not attempt to access other organisations' data, reverse-engineer the platform, or use it in any way that violates applicable law.

4. Data and GDPR

You (the customer organisation) are the data controller for employee personal data held in the platform. We are the data processor acting on your instructions. You are responsible for ensuring you have a lawful basis to process any personal data entered into the platform and for fulfilling data subject rights.

Our processing of your data is governed by our Privacy Policy, which forms part of these Terms.

5. Acceptable use

You must not use the platform to:

• Process personal data without a lawful basis
• Store unlawful, discriminatory, or harassing content
• Attempt to gain unauthorised access to any system or data
• Interfere with the platform's operation or other customers' use
• Resell or sublicense access to third parties

6. Subscription and payment

Access to paid modules requires an active subscription. Subscription fees are charged in advance. If payment fails, access may be suspended after reasonable notice.

Refunds are considered on a case-by-case basis. Please contact us if you have a billing query.

7. Availability and support

We aim to maintain high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible.

Support is provided by email. We will respond to support requests within 2 business days.

8. Intellectual property

The Clearpath HR platform, including all software, design, and content, is owned by Black Sheep Software Ltd. You retain ownership of all data you upload. You grant us a limited licence to process that data solely to provide the service.

9. Limitation of liability

To the extent permitted by law, our liability to you is limited to the subscription fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental losses, or for losses arising from your failure to comply with applicable law.

10. Termination

Either party may terminate the agreement with 30 days' written notice. We may terminate immediately for material breach. On termination, your data is retained for 30 days then permanently deleted.

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
